By placing an order, creating an account, downloading software, or using any AIOTHUB product or service, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions in full.
If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms. If you do not agree to these terms, you must not use our products or services.
These terms apply to all clients regardless of the channel through which they purchase — directly via our website, through our sales team, or via authorized distributors.
AIOTHUB provides industrial-grade data logging hardware and supporting software services. All hardware products are designed and manufactured to industrial specifications and are intended for use in professional and industrial environments only.
Products are available as standard configurations or as custom-engineered units designed to client specifications. Product specifications, features, and availability are subject to change without prior notice. We will endeavour to communicate any material changes to existing clients.
All orders are subject to acceptance by AIOTHUB. Receipt of an order confirmation does not constitute acceptance; orders are confirmed upon dispatch or written acceptance by our team.
AIOTHUB reserves the right to withhold shipment or suspend services in case of outstanding dues. Disputed invoices must be raised in writing within 7 days of receipt.
Delivery timelines provided at the time of order are estimates only and not guaranteed. AIOTHUB is not liable for delays caused by logistics partners, customs clearance, or force majeure events.
Risk of loss or damage to products passes to the client upon handover to the courier or logistics provider. Clients are advised to inspect deliveries upon receipt and report any transit damage within 48 hours.
Where installation services are included in the order, the client is responsible for providing a safe, accessible, and adequately prepared site. Any delays to installation caused by site unreadiness may result in additional charges.
All software, firmware, dashboards, algorithms, circuit designs, and documentation provided by AIOTHUB are the exclusive intellectual property of AIOTHUB and are protected under Indian and international intellectual property laws.
Upon purchase, AIOTHUB grants you a limited, non-exclusive, non-transferable licence to use the software and platform solely in connection with your purchased AIOTHUB hardware and for your internal business operations.
Any unauthorized use, reproduction, or distribution of AIOTHUB's intellectual property may result in termination of your licence and legal action.
Access to the AIOTHUB cloud platform is provided on a subscription basis as specified in your service agreement. AIOTHUB will endeavour to maintain platform availability of 99% uptime, excluding scheduled maintenance windows.
Scheduled maintenance will be communicated at least 24 hours in advance where possible. Emergency maintenance may occur without prior notice in the event of a security threat or critical system failure.
AIOTHUB reserves the right to modify platform features, user interface, and functionality as part of ongoing development. Material reductions in functionality will be communicated to active subscribers in advance.
All operational and machine data collected via your AIOTHUB devices remains your exclusive property. AIOTHUB does not claim ownership over your industrial data. Our use of this data is limited to delivering, maintaining, and improving our services to you.
Both parties agree to treat any non-public business information shared during the course of this engagement as confidential. This obligation survives termination of the agreement for a period of 3 years.
AIOTHUB will process personal data in accordance with our Privacy Policy and applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023. Enterprise clients may request a Data Processing Agreement (DPA) for regulated environments.
All AIOTHUB hardware products come with a standard 12-month warranty against manufacturing defects from the date of delivery, unless a different warranty period is specified in your purchase agreement.
Warranty claims must be submitted to [email protected] with proof of purchase, description of the defect, and photographic evidence where applicable. AIOTHUB will assess the claim and, at its discretion, repair or replace the defective unit.
This warranty does not cover software, cloud subscriptions, or consumable accessories unless separately stated. Extended warranty plans are available for purchase.
To the maximum extent permitted by applicable Indian law, AIOTHUB's total liability arising out of or in connection with any product or service shall not exceed the amount paid by the client for that specific product or service in the 12 months preceding the claim.
AIOTHUB shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of production, loss of revenue, loss of profits, business interruption, or data loss — even if AIOTHUB has been advised of the possibility of such damages.
AIOTHUB's data logging systems provide monitoring and analytical data to assist operational decision-making. AIOTHUB is not responsible for operational decisions, regulatory compliance outcomes, or process failures arising from the interpretation or use of data generated by its systems. Clients in regulated industries (pharmaceuticals, food processing) are responsible for ensuring their own compliance with applicable regulations.
You agree not to use AIOTHUB products, software, or platform for any of the following purposes:
Any breach of these prohibitions may result in immediate suspension of your account and services, termination of your licence, recovery of damages, and referral to the appropriate legal authorities.
Either party may terminate a subscription or service agreement by providing 30 days written notice to the other party. Hardware purchase agreements are not subject to termination once goods have been dispatched.
AIOTHUB may terminate or suspend your access immediately and without notice in cases of: material breach of these terms, non-payment of dues, fraudulent activity, or if continued provision of services would violate applicable law.
Upon termination, your licence to use AIOTHUB software ceases immediately. You may request export of your operational data within 30 days of termination, after which data may be permanently deleted subject to our retention policy.
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Rajkot, Gujarat, India.
Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days of written notice of a dispute.
If unresolved, disputes shall be referred to mediation through a mutually agreed mediator before proceeding to litigation.
If mediation fails, disputes shall be finally resolved by the competent courts of Rajkot, Gujarat, under Indian law.
AIOTHUB reserves the right to amend these Terms & Conditions at any time. When material changes are made, we will notify active clients via email and update the "Last updated" date at the top of this page.
Your continued use of our products or platform after any changes to these terms constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must discontinue use and notify us in writing.
